Etienne Boursican, partner in Orrick’s Paris office, is a member of the M&A and Private Equity Group of the firm.

Etienne specializes in public M&A and capital markets. In particular, he advises and acts for listed companies on: tender offers, sale and purchase of equity stakes, public offerings, private placements and initial public offerings (IPOs). He also has significant expertise in cross-border transactions.

In addition, he focuses on corporate governance matters, having advised issuers as well as minority shareholders in proxy fights, and represents issuers and individuals in litigation related to stock exchange regulation.

Before joining Orrick in November 2013, Etienne was a partner at King & Wood Mallesons SJ Berwin since 2009. Charles Cardon’s practice focuses on corporate and financial transactions, particularly takeovers and mergers & acquisitions, private equity and capital market transactions. Charles Cardon joined Dechert in March 2016 after five years of experience in the Paris office of Weil Gotshal Manges. He had previously spent 6 years in the Paris and New York offices of Willkie Farr & Gallagher.

Charles Cardon has authored numerous articles on company and securities law. He lectures on European takeover bids in Paris 2 Assas LL.M in International Business Law.
Mr. Cardon graduated from the French business school Essec, and received a Master 2 of Commercial, Corporate and Tax Law from Paris I Panthéon Sorbonne in 2004. He is a member of the Paris Bar.

Benoît Charot is the managing partner of the Paris office and the head of the Paris litigation practice group.

Benoit specializes in civil, professional and criminal liabilities related to complex major disasters and industrial risks, product liability, insurance and reinsurance law and insurance policy management: he leads a team of senior associates who mainly work for manufacturers in their dealing with professional risks of any nature (15 years of several thousands of asbestos-related proceedings), but also on the first files related to exposure to glycol ether in France.

Benoît advises on many commercial procedural matters of significant amounts, particularly relating to amendments or breach of contracts and questions linked with contractual liability.

Benoît also has strong know how in disputes related to professional negligence, health care and pharmaceutical and white collar crime. He is regularly instructed to handle arbitration cases. Prior to joining Reed Smith in 2005, Benoît was a Partner at Rambaud Martel.

Michaël Cousin is an avocat at the Paris bar. Michaël joined the Paris competition team after several years at law firms in Paris and Brussels. Specialised in European law, competition law and regulatory law (energy, railway transport) he has also handled many cases regarding distribution law and restrictive trade practices.

He has written many articles on competition law and he lectures at the University Paris 2 Panthéon-Assas. He has also lectured at the University of Paris I (Panthéon-Sorbonne).

Michaël is a member of the board of the French Competition Law Society (Association Francaise d’Etude de la Concurrence).
